1. ScopeThese Commercial Terms (“Commercial Terms”) govern subscriptions, charges, billing, payment, renewal, cancellation and other commercial aspects of the WatsBridge Service.They apply together with the WatsBridge Master Terms of Service and the applicable Order Form, Subscription Order or Pricing information.WatsBridge is a
business-to-business service and is not offered to consumers acting primarily for private purposes.2. Contract formationA commercial order may be formed through:
- the WatsBridge website;
- the WatsBridge application;
- an approved e-commerce platform;
- an Order Form or Subscription Order;
- another ordering process expressly authorised by WatsBridge.
An order becomes binding when the Customer completes the applicable acceptance process and WatsBridge or the authorised billing platform confirms the subscription or order.WatsBridge may refuse an order before activation where reasonably necessary for security, legal, regulatory, payment, platform or eligibility reasons.3. Plans and optional servicesWatsBridge may offer different subscription plans, capacities and optional services.The features, capacities and prices applicable to a Customer are those displayed or agreed at the time of purchase, subject to later changes made in accordance with these Commercial Terms.Artificial intelligence, Voice AI and other optional services may be charged separately from the WatsBridge Core subscription.A Customer is not required to purchase an AI or Voice AI option in order to use WatsBridge Core unless the applicable Order expressly states otherwise.4. PricingCurrent prices are stated in the applicable:
- WatsBridge Pricing page;
- checkout;
- Shopify billing interface;
- Order Form;
- Subscription Order;
- other authorised commercial offer.
Prices shown in marketing material, archived pages, demonstrations or historical documentation do not override the price confirmed at purchase.Unless expressly stated otherwise, quoted prices exclude applicable taxes and third-party charges.5. Billing OriginEach Customer account may be assigned a canonical
Billing Origin determining the authorised billing channel for WatsBridge charges.The Billing Origin is determined by the manner in which the Customer relationship was acquired or otherwise established.Examples include:
- DIRECT_WORLDLINE;
- SHOPIFY.
Billing Origin is a contractual and technical billing rule and is not merely a user-interface preference.The Customer may not circumvent the billing channel applicable to its account.6. Direct customersCustomers acquired directly by WatsBridge may be billed using WatsBridge’s authorised direct payment infrastructure.The direct payment service may be provided by an independent payment service provider.WatsBridge does not require or intend to store full payment card numbers or card security codes within its own application systems where hosted payment mechanisms are used.The payment provider may impose its own terms, authentication procedures and regulatory requirements.A direct Customer that later installs or connects a Shopify integration may remain a direct-billed Customer where permitted by applicable platform rules.7. Shopify-origin customersWhere a Customer acquires WatsBridge through a Shopify channel requiring Shopify billing, WatsBridge charges applicable to that Customer must be processed through the billing mechanisms authorised by Shopify.A Shopify-origin Customer may therefore be prevented from:
- purchasing its WatsBridge subscription through direct WatsBridge checkout;
- upgrading through an off-platform payment channel;
- paying WatsBridge app charges directly through Worldline;
- purchasing billable WatsBridge options through a payment route prohibited by Shopify rules.
The applicable restriction is enforced by WatsBridge systems where technically applicable and is not limited to hiding payment options from the user interface.A Shopify Billing Origin may continue to apply for the lifetime of the relevant Customer account unless a change is expressly permitted under applicable Shopify rules and accepted by WatsBridge.8. Subscription periodsSubscriptions may be offered on monthly, annual or other billing periods indicated at checkout or in the applicable Order.Unless expressly stated otherwise, a subscription begins when activated and continues for the purchased billing period.Each billing period constitutes part of the same continuing contractual subscription unless the subscription is terminated in accordance with these Commercial Terms.9. Automatic renewalWhere a subscription is described as recurring, it automatically renews for successive billing periods unless cancelled before the applicable renewal takes effect.The applicable renewal price is the price valid for that subscription at renewal, subject to any notice requirements concerning price changes.Cancellation prevents future renewal but does not normally terminate access before the end of an already-paid current billing period.10. Free trials and promotional periodsWatsBridge may offer free trials or promotional subscription periods.The applicable offer will specify, where relevant:
- duration;
- included functionality;
- usage limits;
- payment method requirements;
- conversion to a paid subscription.
Where a trial is configured to convert automatically into a paid subscription, this must be communicated during the applicable purchase or activation process.WatsBridge may limit repeated use of trials or promotional offers by the same Customer or related accounts.11. UpgradesA Customer may upgrade its subscription where the applicable billing channel permits it.An upgrade may take effect:
- immediately;
- at the next billing period;
- according to the billing platform’s proration mechanism.
The applicable checkout or billing platform will determine and display the charge where technically supported.Shopify-billed Customers remain subject to Shopify’s applicable upgrade and billing mechanisms.12. DowngradesA downgrade normally takes effect at the beginning of the next billing period unless otherwise stated.A Customer remains responsible for ensuring that its account usage is compatible with the capacities of the lower plan.Where usage exceeds the capacities of the requested plan, WatsBridge may require the Customer to reduce usage before the downgrade can take effect or may apply another reasonable technical mechanism communicated to the Customer.WatsBridge will not intentionally delete Customer Data solely to perform a downgrade without appropriate warning or an applicable retention process.13. CancellationThe Customer may cancel a recurring WatsBridge subscription using the account or platform functionality made available for that purpose.Unless otherwise stated:
- cancellation stops future renewal;
- the subscription remains active until the end of the paid billing period;
- already-paid subscription fees are not prorated merely because the Customer stops using the Service before that date.
Shopify-origin Customers must use the applicable Shopify/WatsBridge cancellation mechanism where required by Shopify billing rules.14. RefundsExcept where required by mandatory law, expressly stated in an Order or resulting from an established WatsBridge billing error, paid subscription fees are non-refundable once the relevant billing period has begun.No refund is due solely because:
- the Customer does not use the Service;
- the Customer changes its business priorities;
- the Customer fails to configure the Service;
- a third-party platform rejects an account, number, template or other asset for reasons not attributable to a breach by WatsBridge.
This clause does not affect any express service credit or refund right contained in another applicable contractual document.15. TaxesPrices may be subject to VAT, sales tax or other taxes depending on the Customer’s location, tax status and applicable law.The Customer must provide accurate billing and tax information, including a valid tax identification number where relevant.WatsBridge may use a specialised tax compliance service to determine or document applicable tax treatment.Where legally permitted, taxes not included in the stated net price are added to the amount payable.The Customer remains responsible for taxes that applicable law requires the Customer itself to account for, including reverse-charge or self-assessment obligations where relevant.16. Invoices and billing recordsWatsBridge or the applicable billing platform may issue invoices, receipts or other billing records electronically.The Customer is responsible for maintaining accurate billing details.Billing records may include:
- Customer identity;
- subscription or service;
- billing period;
- taxable amount;
- tax treatment;
- currency;
- payment status;
- transaction references.
The Customer should report an apparent billing error without undue delay after becoming aware of it.17. Payment methodsAvailable payment methods depend on the Customer’s Billing Origin, country, currency and billing platform.The Customer authorises the applicable billing platform or payment provider to charge the selected payment method for amounts properly due under the subscription or Order.The Customer must maintain a valid payment method where recurring billing requires one.WatsBridge does not guarantee that every payment method will remain available indefinitely.18. Failed and overdue paymentsIf payment fails or becomes overdue, WatsBridge or the applicable billing provider may:
- retry the payment;
- request an updated payment method;
- restrict purchases or upgrades;
- suspend paid functionality;
- ultimately terminate the affected subscription.
Where permitted by applicable law, overdue amounts may bear the applicable statutory default interest and reasonable recovery costs.WatsBridge will seek to apply suspension proportionately where reasonably practicable.19. Chargebacks and payment disputesThe Customer should first contact WatsBridge through the secure Contact mechanism concerning a suspected billing error where reasonably practicable.Fraudulent or abusive chargebacks may constitute a material breach.Nothing in this section restricts rights that cannot legally be excluded or a Customer’s legitimate use of procedures provided by its payment service provider.Where Shopify handles the relevant billing transaction, Shopify’s applicable dispute and chargeback mechanisms may apply.20. CurrencyPrices may be offered in one or more supported currencies.The applicable purchase interface or Order determines the contractual transaction currency.The Customer’s bank, card issuer or payment provider may apply currency conversion or other fees independently of WatsBridge.Such independent fees are not WatsBridge charges.21. Third-party platform chargesCharges imposed by Meta, telecommunications providers, e-commerce platforms or other third parties are economically and contractually distinct from WatsBridge subscription charges.Where WatsBridge facilitates or passes through a third-party charge, the applicable pricing or billing interface will identify the relevant mechanism.Where Meta charges are passed through without WatsBridge markup under the then-current pricing model, this does not prevent WatsBridge from separately charging for:
- the WatsBridge subscription;
- optional WatsBridge services;
- AI functionality;
- professional services.
Any future WatsBridge markup or separate service fee affecting an existing Customer must be disclosed before it becomes contractually applicable.22. WatsBridge AI CreditsWatsBridge AI functionality may consume
WatsBridge AI Credits.AI Credits are internal contractual usage units and do not represent money or stored monetary value.WatsBridge may distinguish between:Included AI CreditsCredits included periodically with an eligible AI subscription.Unless the applicable Pricing information states otherwise, unused included credits do not constitute a cash entitlement and may reset at the end of the relevant allocation period.Purchased AI CreditsAdditional credits purchased separately in eligible packs.Purchased AI Credits are accounted for separately from periodically included credits.Unless otherwise required by law or expressly stated at purchase, purchased AI Credits may carry forward while the relevant WatsBridge account remains active and in good standing.AI Credits:
- cannot be transferred between unrelated Customers without WatsBridge approval;
- cannot be exchanged for cash;
- cannot be used as a general payment instrument;
- may be consumed only by eligible WatsBridge functionality.
WatsBridge may correct credit balances where a technical or billing error is established.23. Insufficient AI CreditsWatsBridge is designed so that AI functionality does not intentionally create unfunded AI consumption.Where the available AI Credit balance is insufficient:
- the affected AI operation may be refused, paused or unavailable;
- WatsBridge Core should remain usable independently where technically applicable;
- the Customer may purchase an eligible credit pack or continue without the affected AI function.
An insufficient AI Credit balance does not itself constitute failure of the WatsBridge Core Service.24. AI provider costs and pricing changesThe costs of underlying AI and voice providers may change over time.WatsBridge may therefore adjust:
- the number of AI Credits included in an offer;
- the price of future AI Credit packs;
- the credit consumption assigned to eligible operations;
- AI subscription pricing.
Changes will apply prospectively in accordance with the applicable notice and renewal rules.Credits already purchased will not be retroactively removed merely because the underlying provider changes its pricing, except where required to correct an error, prevent abuse or comply with law.25. Professional and implementation servicesWhere WatsBridge provides implementation, migration, customisation, consulting or other professional services, the applicable scope, price and deliverables may be stated in a separate Order or written agreement.Unless expressly included, a standard WatsBridge subscription does not include unlimited custom development, consulting or migration work.26. Pricing changesWatsBridge may change prices prospectively.For recurring subscriptions, a material price increase normally applies no earlier than a future renewal period after reasonable notice, unless:
- the Customer expressly accepts an earlier change;
- the change results directly from a separately identified third-party pass-through charge;
- mandatory law or platform requirements require another mechanism.
If a Customer does not accept a future renewal price, its remedy is to cancel the subscription before the new price takes effect.27. Suspension for commercial reasonsWatsBridge may suspend paid functionality for material non-payment or abuse of billing systems in accordance with these Commercial Terms and the Master Terms.Where reasonably possible:
- the Customer will be informed;
- the suspension will be limited to affected services;
- data will not be deleted merely because of a temporary payment suspension.
Long-term non-payment may result in termination and application of the normal termination/retention rules.28. Liability relating to commercial servicesThe liability provisions of the Master Terms apply.To the maximum extent permitted by applicable law and unless an individual Order expressly provides otherwise, WatsBridge’s aggregate contractual liability arising from the paid Service during any twelve-month period is limited to the fees paid or payable by the Customer to WatsBridge for the affected Service during the twelve months preceding the event giving rise to the claim.This limitation does not apply where liability cannot lawfully be limited, including where applicable in cases of intent, gross negligence or other mandatory statutory liability.Third-party charges merely collected or passed through by WatsBridge are not included when calculating the WatsBridge service-fee liability cap unless mandatory law requires otherwise.29. Termination for breachEither party may terminate the affected contractual relationship for a material breach that remains uncured after a reasonable opportunity to remedy it where cure is possible.Immediate termination may be appropriate where continuation would create a material security, legal, fraud or platform-compliance risk.Termination does not extinguish amounts properly due before termination.30. Effect of terminationAfter termination:
- future recurring subscription charges cease in accordance with the applicable billing process;
- access to paid features may end;
- unpaid amounts remain due;
- Customer-owned third-party assets remain subject to the ownership and portability principles in the Master Terms;
- Customer Data is handled according to the DPA, retention rules and applicable law.
Unless mandatory law or an applicable Order states otherwise, unused promotional, included or purchased AI Credits do not create a right to a cash payment when the account is finally terminated.31. Changes required by billing platformsWhere a billing platform such as Shopify changes mandatory billing requirements, WatsBridge may adapt its billing process as reasonably necessary to remain compliant.Such changes do not permit WatsBridge to charge an amount not otherwise agreed or properly disclosed.The Customer may be required to complete a platform-authorised billing approval where the platform requires renewed consent.32. Records and evidenceWatsBridge may retain appropriate non-card billing evidence, including:
- Billing Origin;
- applicable subscription;
- Pricing or Order version;
- invoices;
- transaction references;
- payment status;
- tax snapshots;
- subscription changes;
- cancellation records.
Such records may be used to demonstrate the commercial relationship, reconcile transactions and comply with accounting, tax, security and legal obligations.33. No stored-value accountLegacy technical components or historical references to a “wallet” do not create a contractual stored-value account.Unless WatsBridge expressly introduces a different regulated product under separate terms, the WatsBridge commercial model does not provide the Customer with:
- a bank account;
- stored monetary value;
- electronic money;
- a cash wallet;
- a transferable monetary balance.
AI Credits are governed exclusively by Section 22 and related Pricing terms.34. Contact for billing mattersBilling and commercial questions may be submitted through the secure
Contact form available on the WatsBridge website.The Customer should select the relevant billing or commercial subject where such routing is available.

exclusivement B2B et n’est pas proposé aux consommateurs agissant principalement à des fins privées.2. Formation du contratUne commande commerciale peut être conclue par l’intermédiaire du site WatsBridge, de l’application WatsBridge, d’une plateforme e-commerce autorisée, d’un Bon de commande, d’un Subscription Order ou d’un autre processus expressément autorisé par WatsBridge.La commande devient contraignante lorsque le Client accomplit le processus d’acceptation applicable et que WatsBridge ou la plateforme de facturation autorisée confirme l’abonnement ou la commande.WatsBridge peut refuser une commande avant activation lorsque cela est raisonnablement nécessaire pour des raisons de sécurité, juridiques, réglementaires, de paiement, de plateforme ou d’éligibilité.3. Plans et services optionnelsWatsBridge peut proposer différents plans, capacités et services optionnels.Les fonctionnalités, capacités et tarifs applicables sont ceux affichés ou convenus au moment de l’achat, sous réserve des modifications ultérieures conformes aux présentes CGV.Les services d’intelligence artificielle, Voice AI et autres options peuvent être facturés séparément de WatsBridge Core.Sauf disposition expresse contraire d’une commande, l’achat d’une option IA ou Voice AI n’est pas nécessaire pour utiliser WatsBridge Core.4. TarificationLes prix actuels figurent dans la page Pricing WatsBridge, le checkout, l’interface de facturation Shopify, le Bon de commande, le Subscription Order ou toute autre offre commerciale autorisée.Les prix figurant dans d’anciens supports, démonstrations ou documents historiques ne remplacent pas le tarif confirmé lors de l’achat.Sauf indication contraire, les prix indiqués s’entendent hors taxes applicables et hors frais tiers.5. Origine de facturationChaque compte Client peut se voir attribuer une
Billing Origin canonique déterminant le canal de facturation autorisé.Cette origine dépend notamment du canal par lequel la relation Client a été acquise ou établie.Elle peut notamment correspondre à :
- DIRECT_WORLDLINE;
- SHOPIFY.
La Billing Origin constitue une règle contractuelle et technique de facturation et non une simple préférence d’interface.Le Client ne doit pas contourner le canal de facturation applicable à son compte.6. Clients directsLes Clients acquis directement par WatsBridge peuvent être facturés au moyen de l’infrastructure de paiement direct autorisée par WatsBridge.Le traitement des paiements peut être fourni par un prestataire de paiement indépendant.Lorsque des pages de paiement hébergées sont utilisées, WatsBridge n’a pas pour objectif de conserver dans ses propres systèmes les numéros complets de carte ou codes de sécurité.Un Client direct qui installe ultérieurement une intégration Shopify peut continuer à être facturé directement lorsque les règles de la plateforme le permettent.7. Clients acquis via ShopifyLorsqu’un Client acquiert WatsBridge par un canal Shopify imposant Shopify Billing, les frais WatsBridge applicables à ce Client doivent être traités au moyen des mécanismes de facturation autorisés par Shopify.Un Client d’origine Shopify peut ainsi être empêché :
- d’acheter son abonnement via le checkout direct WatsBridge ;
- d’effectuer un upgrade par un paiement hors plateforme ;
- de régler des frais d’application WatsBridge directement via Worldline ;
- d’acheter des options facturables par une route interdite par les règles Shopify.
Cette restriction doit, lorsque techniquement applicable, être appliquée côté système et ne repose pas uniquement sur le masquage d’un bouton de paiement.La Billing Origin Shopify peut rester applicable pendant toute la durée du compte concerné sauf si une modification est expressément permise par Shopify et acceptée par WatsBridge.8. Périodes d’abonnementLes abonnements peuvent être proposés mensuellement, annuellement ou selon une autre périodicité indiquée lors de l’achat.Sauf disposition contraire, l’abonnement débute lors de son activation et se poursuit pendant la période achetée.9. Renouvellement automatiqueLorsqu’un abonnement est présenté comme récurrent, il se renouvelle automatiquement pour des périodes successives sauf résiliation avant la prise d’effet du renouvellement.Le tarif applicable au renouvellement est le tarif en vigueur pour cet abonnement, sous réserve des règles d’information applicables aux changements de prix.La résiliation empêche le renouvellement futur mais ne met normalement pas fin à l’accès avant la fin de la période déjà payée.10. Essais gratuits et promotionsWatsBridge peut proposer des périodes d’essai ou promotions.L’offre applicable précise, lorsque pertinent, leur durée, les fonctionnalités incluses, les limites d’usage, les exigences de paiement et la conversion éventuelle en abonnement payant.Une conversion automatique d’essai en abonnement payant doit être indiquée lors du processus d’activation ou d’achat applicable.11. UpgradesLe Client peut effectuer un upgrade lorsque son canal de facturation le permet.L’upgrade peut prendre effet immédiatement, à la prochaine période ou selon le mécanisme de prorata de la plateforme de facturation.Les Clients Shopify restent soumis aux mécanismes de facturation Shopify applicables.12. DowngradesUn downgrade prend normalement effet au début de la période suivante sauf indication contraire.Le Client doit s’assurer que son utilisation est compatible avec les capacités du plan inférieur.WatsBridge ne supprimera pas intentionnellement des Données Client uniquement pour permettre un downgrade sans avertissement approprié ou processus de conservation applicable.13. RésiliationLe Client peut résilier un abonnement récurrent au moyen des fonctionnalités de compte ou de plateforme prévues à cet effet.Sauf indication contraire :
- la résiliation empêche le prochain renouvellement ;
- l’abonnement reste actif jusqu’à la fin de la période payée ;
- les montants déjà payés ne sont pas proratisés simplement parce que le Client cesse d’utiliser le Service avant cette date.
14. RemboursementsSauf exigence du droit impératif, disposition expresse d’une commande ou erreur de facturation WatsBridge établie, les frais payés ne sont pas remboursables après le début de la période concernée.Aucun remboursement n’est dû du seul fait que le Client n’utilise pas le Service, modifie ses priorités, ne configure pas le Service ou qu’une plateforme tierce refuse un compte, numéro, template ou autre actif pour une raison non imputable à un manquement de WatsBridge.15. TaxesLes prix peuvent être soumis à la TVA ou à d’autres taxes en fonction de la localisation, du statut fiscal et du droit applicable au Client.Le Client doit communiquer des informations de facturation et fiscales exactes.WatsBridge peut utiliser un service spécialisé de conformité fiscale pour déterminer ou documenter le traitement fiscal applicable.Lorsque la loi le permet, les taxes non incluses dans le prix net sont ajoutées au montant dû.16. Factures et documents de facturationWatsBridge ou la plateforme de facturation applicable peut émettre électroniquement des factures, reçus ou autres documents.Le Client est responsable de l’exactitude de ses données de facturation.Il doit signaler sans retard injustifié toute erreur apparente de facturation dont il prend connaissance.17. Moyens de paiementLes moyens de paiement disponibles dépendent de la Billing Origin, du pays, de la devise et de la plateforme concernée.Le Client autorise le prestataire ou la plateforme concernée à débiter le moyen de paiement sélectionné des montants correctement dus.Un moyen de paiement valide doit être maintenu lorsque la facturation récurrente l’exige.18. Paiements échoués ou en retardEn cas d’échec ou de retard de paiement, WatsBridge ou le prestataire concerné peut notamment effectuer une nouvelle tentative, demander une mise à jour du moyen de paiement, limiter les achats ou upgrades, suspendre certaines fonctions payantes ou finalement résilier l’abonnement.Lorsque la loi le permet, les montants échus peuvent porter l’intérêt moratoire légal applicable ainsi que des frais raisonnables de recouvrement.19. Contestations de paiementLe Client est invité, lorsque cela est raisonnablement possible, à contacter WatsBridge au moyen du formulaire sécurisé Contact avant d’initier une contestation concernant une erreur de facturation supposée.Les chargebacks frauduleux ou abusifs peuvent constituer un manquement substantiel.Cette clause ne restreint aucun droit impératif ni le recours légitime aux procédures d’un prestataire de paiement.20. DevisesLes prix peuvent être proposés dans plusieurs devises.L’interface d’achat ou la commande détermine la devise contractuelle de la transaction.Les éventuels frais de change appliqués indépendamment par une banque, un émetteur de carte ou autre prestataire ne constituent pas des frais WatsBridge.21. Frais de plateformes tiercesLes frais imposés par Meta, les opérateurs de télécommunications, plateformes e-commerce ou autres tiers sont distincts des abonnements WatsBridge.Lorsque WatsBridge facilite ou refacture un coût tiers, la tarification ou l’interface de facturation applicable en précise le mécanisme.Lorsque les frais Meta sont répercutés sans marge WatsBridge conformément au modèle tarifaire alors applicable, cela n’empêche pas WatsBridge de facturer séparément son abonnement, ses options, l’IA ou ses services professionnels.Toute future marge ou commission WatsBridge affectant un Client existant devra être communiquée avant de devenir applicable.22. WatsBridge AI CreditsCertaines fonctionnalités IA peuvent consommer des
WatsBridge AI Credits.Les AI Credits constituent des unités contractuelles internes d’usage et non une valeur monétaire stockée.WatsBridge distingue notamment :AI Credits inclusCrédits attribués périodiquement avec un abonnement IA éligible.Sauf indication contraire de la tarification, les crédits inclus inutilisés ne donnent aucun droit à un paiement en espèces et peuvent être réinitialisés à la fin de la période d’allocation.AI Credits achetésCrédits additionnels achetés séparément sous forme de packs.Ils sont comptabilisés séparément des crédits inclus.Sauf obligation légale contraire ou condition particulière annoncée lors de l’achat, les AI Credits achetés peuvent être reportés tant que le compte WatsBridge concerné demeure actif et en règle.Les AI Credits ne peuvent pas être convertis en espèces ni utilisés comme moyen de paiement général.23. Solde insuffisant d’AI CreditsWatsBridge est conçu afin qu’une fonction IA ne génère pas intentionnellement une consommation non financée.Lorsque le solde est insuffisant :
- l’opération IA peut être refusée, suspendue ou indisponible ;
- WatsBridge Core doit rester utilisable indépendamment lorsque cela est techniquement applicable ;
- le Client peut acheter un pack éligible ou continuer sans la fonction IA concernée.
L’insuffisance de crédits IA ne constitue pas en soi une indisponibilité de WatsBridge Core.24. Coûts fournisseurs IA et évolution tarifaireLes coûts des fournisseurs d’IA et de Voice AI peuvent évoluer.WatsBridge peut donc modifier prospectivement les quotas inclus, prix des packs, règles de consommation des crédits ou prix des options IA.Les crédits déjà achetés ne seront pas supprimés rétroactivement uniquement en raison d’une modification tarifaire du fournisseur, sous réserve des corrections d’erreurs, abus ou obligations légales.25. Services professionnelsLorsque WatsBridge fournit des services d’implémentation, migration, personnalisation, conseil ou autres services professionnels, leur périmètre, prix et livrables peuvent faire l’objet d’une commande ou d’un accord distinct.Un abonnement standard n’inclut pas, sauf disposition expresse, un développement personnalisé, conseil ou travail de migration illimité.26. Modification des prixWatsBridge peut modifier ses prix pour l’avenir.Pour les abonnements récurrents, une augmentation substantielle s’applique normalement au plus tôt lors d’un renouvellement futur après information raisonnable, sauf acceptation expresse du Client, coût tiers distinct répercuté ou exigence imposée par la loi ou une plateforme.Si le Client refuse le tarif futur, il peut résilier avant sa prise d’effet.27. Suspension pour motifs commerciauxWatsBridge peut suspendre des fonctions payantes en cas de défaut substantiel de paiement ou d’abus du système de facturation.Lorsque cela est raisonnablement possible, la suspension sera limitée aux services concernés et les données ne seront pas supprimées uniquement en raison d’une suspension temporaire de paiement.28. Responsabilité relative aux services commerciauxLes dispositions de responsabilité des Conditions générales d’utilisation s’appliquent.Dans la mesure maximale permise par le droit applicable et sauf disposition expresse contraire d’une commande individuelle, la responsabilité contractuelle cumulée de WatsBridge au titre du Service payant sur une période de douze mois est limitée aux frais payés ou à payer par le Client à WatsBridge pour le Service concerné durant les douze mois précédant l’événement à l’origine de la réclamation.Cette limitation ne s’applique pas lorsque la responsabilité ne peut légalement être limitée, notamment, lorsque applicable, en cas de dol, faute grave ou autre responsabilité impérative.Les frais tiers uniquement encaissés ou répercutés par WatsBridge ne sont pas inclus dans le calcul de ce plafond sauf exigence impérative contraire.29. Résiliation pour manquementChaque partie peut résilier la relation contractuelle concernée en cas de manquement substantiel non corrigé après un délai raisonnable lorsque la correction est possible.Une résiliation immédiate peut être justifiée lorsque la poursuite du contrat crée un risque substantiel de sécurité, juridique, de fraude ou de conformité à une plateforme.La résiliation n’éteint pas les montants correctement dus auparavant.30. Conséquences de la résiliationAprès résiliation :
- les futurs prélèvements récurrents cessent conformément au processus de facturation applicable ;
- l’accès aux fonctions payantes peut prendre fin ;
- les montants impayés restent dus ;
- les actifs tiers appartenant au Client restent soumis aux principes de propriété et portabilité des CGU ;
- les Données Client sont traitées conformément au DPA, aux règles de conservation et au droit applicable.
Sauf disposition impérative ou commande contraire, les AI Credits promotionnels, inclus ou achetés inutilisés ne donnent pas droit à un paiement en espèces lors de la fermeture définitive du compte.31. Modifications imposées par les plateformes de facturationLorsqu’une plateforme telle que Shopify modifie ses règles obligatoires de facturation, WatsBridge peut adapter son processus afin de rester conforme.Cette adaptation n’autorise pas WatsBridge à facturer un montant qui n’aurait pas été correctement convenu ou communiqué.Une nouvelle validation du paiement peut être demandée lorsque la plateforme l’exige.32. Registres et preuvesWatsBridge peut conserver les éléments de facturation appropriés ne contenant pas les données complètes de carte, notamment :
- Billing Origin ;
- abonnement applicable ;
- version du Pricing ou de la commande ;
- factures ;
- références de transaction ;
- statut de paiement ;
- données fiscales de référence ;
- changements d’abonnement ;
- preuves de résiliation.
Ces éléments peuvent servir à démontrer la relation commerciale, effectuer les rapprochements et respecter les obligations comptables, fiscales, sécuritaires ou légales.33. Absence de compte de valeur monétaireLes anciens composants techniques ou références historiques à un « wallet » ne créent aucun compte contractuel de valeur monétaire.Sauf création expresse ultérieure d’un produit réglementé soumis à des conditions distinctes, WatsBridge ne fournit pas au Client de compte bancaire, monnaie électronique, portefeuille de trésorerie ou solde monétaire transférable.Les AI Credits sont exclusivement régis par la section 22 et la tarification applicable.34. Contact pour la facturationToute question commerciale ou de facturation peut être transmise au moyen du formulaire sécurisé
