1. Binding Nature of the Agreement
By accessing, installing, configuring, or using the Services in any manner, the Client enters into a legally binding agreement with WatsBridge and accepts, without limitation or reservation, all applicable terms, including those incorporated by reference.
Electronic acceptance, including via checkbox or interface interaction, shall constitute valid and enforceable consent equivalent to a handwritten signature.
2. Nature and Availability of the Services
The Services are provided on an “as is” and “as available” basis, without any guarantee of uninterrupted availability, continuous performance, or error-free operation.
To the maximum extent permitted by applicable law, WatsBridge disclaims all warranties, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
3. Structural Dependency on Third-Party Services
The Client acknowledges that core functionalities of the Services, including but not limited to messaging capabilities, depend structurally on Third-Party Services, and that such dependency is inherent, unavoidable, and not subject to control by WatsBridge.
Any modification, restriction, suspension, or termination imposed by such Third-Party Services shall not constitute a breach or failure of WatsBridge.
4. Client Obligations and Legal Compliance
The Client shall be solely responsible for its use of the Services, including compliance with all applicable laws, regulations, and third-party policies, including but not limited to data protection laws, anti-spam regulations, and telecommunications rules.
The Client shall ensure that all communications are lawful, authorized, and properly consented.
5. Consent, Proof and Auditability
Where consent is required, the Client shall obtain, record, and maintain verifiable proof of such consent, including timestamps, source, and scope.
WatsBridge reserves the right to request such evidence and to suspend the Services in case of suspected non-compliance.
6. Suspension and Termination Rights
WatsBridge may, at its sole discretion and without prior notice, suspend, restrict, or terminate access to the Services in case of breach, risk exposure, suspected misuse, regulatory requirement, or third-party request.
7. Limitation of Liability
To the maximum extent permitted by law, WatsBridge shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profit, revenue, business opportunity, data, or reputation.
WatsBridge’s total liability shall be strictly limited to the total amount paid by the Client during the twelve (12) months preceding the event giving rise to the claim.
Where such limitation is deemed unenforceable, it shall apply to the maximum extent permitted by law.
8. Governing Law and Jurisdiction
This Agreement shall be governed by Swiss law.
Any dispute shall be subject to the exclusive jurisdiction of the competent courts at the registered seat of WatsBridge, unless otherwise required by mandatory law.
